Please read carefully: these Terms include a binding arbitration provision and a class action waiver in the Dispute Resolution section, which affect how disputes with us are resolved.

1. Acceptance of these Terms

These Terms and Conditions of Use (“Terms”) govern your use of www.santoraspizzaandcatering.com (the “Site”), operated by Santora’s Pizza and Catering, also known as Santora’s Pizza Cafe, part of Santora Foods, LLC (“Santora’s”, “we” or “us”). By using the Site you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Site. We may update these Terms by posting a revised version with a new “Last updated” date; continued use means you accept it.

2. Use of the Site

You may use the Site for lawful, personal purposes such as viewing our menus and contacting us. You agree not to interfere with the Site, attempt unauthorized access, scrape content with automated tools, submit spam or false information through our forms, or use the Site in violation of any law or these Terms. We may restrict your access if you violate these Terms.

3. Menus, pricing and availability

Menus, prices, photographs, descriptions and hours on the Site are for information only. They may change without notice and may differ from what is offered in our restaurant or for catering on a given day. The Site has no online store or checkout. Orders and catering are confirmed only by Santora’s directly, by phone, by email or in person, on the terms we agree with you at that time. We may correct errors and decline any order or request.

4. Catering requests

Submitting a catering questionnaire or contact form is an inquiry, not an order or a contract. It does not reserve a date, guarantee availability or commit us to any price. A catering arrangement exists only when we confirm it with you directly, including any deposit, minimum, cancellation or payment terms we provide.

5. Intellectual property

The Site and its content, including our name, logos, menus, text, photographs and design, are owned by Santora Foods, LLC or its licensors and protected by copyright and trademark law. You may view and print pages for personal, non-commercial use only. Any other copying, republishing or modification requires our written permission.

6. Your submissions

When you send us information through the Site, you confirm it is accurate and that you may provide it, and you allow us to use it as described in our Privacy Policy. Do not send sensitive information, such as payment card numbers, through the Site.

7. Third-party links and social feeds

The Site may link to third-party websites and displays posts from our Facebook and Instagram pages. We do not control those services and are not responsible for their content or privacy practices, which are governed by their own terms. A link or feed is not an endorsement.

8. No warranties

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted or error-free, or that its information is accurate or current. Some jurisdictions do not allow these exclusions, so some may not apply to you.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SANTORA FOODS, LLC AND ITS OWNERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SITE, AND OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100). This section does not limit liability that cannot be limited by law and does not apply to food or catering you purchase from us directly.

10. Indemnification

You agree to indemnify and hold harmless Santora Foods, LLC and its owners, employees and agents from any claims, losses and expenses, including reasonable attorneys’ fees, arising from your violation of these Terms or of any law or third-party right.

11. Dispute Resolution

11.1 Informal resolution first

Before starting arbitration or a court proceeding, the party raising a dispute must send the other a written notice describing the dispute and the relief requested. Notices to us go to info@santoraspizzaandcatering.com or by mail to Santora’s Pizza and Catering, 2928 Walden Ave., Depew, NY 14043; notices to you go to the contact details you last gave us. The parties will have 60 days from receipt of the notice to resolve the dispute informally before either may proceed under this section.

11.2 Binding individual arbitration

Except as provided in 11.3, any dispute arising out of or relating to these Terms or the Site will be resolved by binding arbitration before a single arbitrator administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect. The Federal Arbitration Act governs this section. The arbitrator, not a court, decides any dispute about the scope, validity or enforceability of this arbitration agreement. Judgment on the award may be entered in any court with jurisdiction.

11.3 Small-claims carve-out

Either party may bring an individual claim in small claims court in Erie County, New York, or in the county where you live, if the claim qualifies and stays in that court on an individual basis.

11.4 Location

Arbitration may be conducted by document submission, phone or video. Any in-person hearing will be held in Erie County, New York, or in the county where you live, at your choice.

11.5 Fees

Fees are governed by the AAA Consumer Arbitration Rules. For claims of $10,000 or less, we will pay all AAA filing, administration and arbitrator fees unless the arbitrator finds the claim frivolous or brought for an improper purpose. Each party pays its own attorneys’ fees unless the law or the AAA rules provide otherwise.

11.6 Class and representative action waiver

YOU AND SANTORA’S AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF MORE THAN ONE PERSON OR PRESIDE OVER ANY CLASS OR REPRESENTATIVE PROCEEDING. If this waiver is found unenforceable for a particular claim, that claim will be heard in court and the remaining claims will proceed in arbitration.

11.7 Jury trial waiver

TO THE EXTENT ANY DISPUTE PROCEEDS IN COURT RATHER THAN ARBITRATION, YOU AND SANTORA’S EACH KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY.

11.8 Your right to opt out

You may opt out of this arbitration agreement by emailing info@santoraspizzaandcatering.com within 30 days after you first use the Site, with the subject line “Arbitration opt-out” and your name and contact information. Opting out does not affect any other part of these Terms.

11.9 Changes to this section

If we change this Dispute Resolution section, you may reject the change by emailing us within 30 days after it is posted. If you do, the version in effect when you first accepted these Terms will continue to apply.

11.10 Severability and survival

If any part of this section is found unenforceable, the rest remains in effect, except as provided in 11.6. This section survives any termination of these Terms or your relationship with us.

12. Governing law and venue

These Terms are governed by the laws of the State of New York, without regard to its conflict of laws rules, and by the Federal Arbitration Act as to Section 11. Subject to Section 11, any court proceeding will be brought exclusively in the state or federal courts located in Erie County, New York, and you consent to their jurisdiction.

13. General

These Terms and our Privacy Policy are the entire agreement about the Site. If any provision is held invalid, the others remain in effect, and our failure to enforce a provision is not a waiver.
